RanFab – Terms of Use and Software Licence Agreement

1. Definitions

These Terms of Use, including the Software Licence Agreement (together, Terms), apply to any person or entity that accesses the RanFab website or uses any products or services provided by Idronic Pty Ltd.

In these Terms:

• “we”, “our” or “us” means Idronic Pty Ltd.
• “you” means the individual or legal entity using the Services.
• “Intellectual Property Rights” means all present and future intellectual property rights of any kind, whether registered or unregistered, including without limitation copyright, patents, trademarks, trade names, design rights, database rights, trade secrets, confidential information, and rights of publicity or privacy.
• “Licence” means the limited, revocable right granted to you to use the Software under these Terms.
• “Services” means all software, platforms, products, services, support, documentation, websites, and related offerings provided by us.
• “Software” means any software provided by us, including but not limited to RanFab, CutQuote, and any related modules, updates, upgrades, patches, or integrations.
• “Software Agreement” means this document, which governs the licensing and use of the Software.
• “Website” means the RanFab website and any related domains.
• “User” means any authorised individual granted access to the Services under your account.

Headings are for convenience only and do not affect interpretation.

2. Acceptance of Terms

By accessing, registering for, purchasing, downloading, installing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with any additional policies referenced herein, including our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

3. Licence Grant

All Software is licensed, not sold.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Software strictly for your internal business purposes during the applicable licence or subscription period, subject to full compliance with these Terms.

Unless otherwise agreed in writing:

• Licences are per user,
• Each User may be logged in only once at any given time,
• The Software may operate on one server or environment at a time, and
• Sharing, pooling, or multiplexing user access is strictly prohibited.

4. Licence Restrictions

You must not, and must not permit any third party to:

• Copy, reproduce, modify, adapt, translate, or create derivative works of the Software;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code;
• Circumvent licence enforcement or security mechanisms;
• Use the Software for unlawful purposes or in violation of applicable laws;
• Provide access to the Software to any unauthorised third party.

Any statutory rights that cannot be excluded apply only to the minimum extent required by law.

5. Ownership and Intellectual Property

All Intellectual Property Rights in the Software, Services, Website, and related materials remain the exclusive property of us or our licensors.

No rights are granted to you other than those expressly set out in these Terms.

6. Hosting and Distribution

All cloud-based Software is hosted exclusively on infrastructure owned or controlled by us or our service providers.

Unauthorised copying, distribution, resale, sublicensing, or hosting of the Software is strictly prohibited.

7. Cloud SaaS Subscriptions

7.1 Billing and Renewal

• Subscriptions are billed in advance on a yearly or other stated billing cycle.
• Subscriptions automatically renew on each anniversary unless cancelled before the renewal date.
• You authorise us to charge your nominated payment method for all applicable fees.

7.2 No Refunds

All subscription fees are final and strictly non-refundable, including but not limited to:

• Partial periods,
• Unused time,
• Downgrades,
• Account suspension or termination.

Cancellation stops future billing only and does not entitle you to any refund.

8. Local Installations and Maintenance

8.1 Mandatory Maintenance

For locally installed Software:

• Annual maintenance fees are mandatory.
• Maintenance includes access to updates, upgrades, and limited technical support at our discretion.
• We support only the current Software version.

8.2 Failure to Renew

If maintenance fees are not paid:

• Access to the Software may be reduced, suspended, or terminated without notice;
• We have no obligation to provide support or updates;
• You remain solely responsible for your data and database integrity.

8.3 No Refunds

All maintenance fees are final and non-refundable under all circumstances.

9. No Warranties

To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE”.

We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

• Merchantability,
• Fitness for a particular purpose,
• Non-infringement,
• Accuracy,
• Availability,
• Error-free or uninterrupted operation.

You assume all risk arising from the use of the Services.

10. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
• This includes, without limitation, loss of profits, revenue, data, business, contracts, goodwill, or anticipated savings;
• This applies regardless of the legal theory, including negligence, contract, tort, or strict liability.

If liability cannot be excluded by law, our total cumulative liability is strictly limited to the greater of:

• The licence or subscription fees paid by you in the single billing period immediately preceding the claim, or
• AUD $100.

11. Indemnity

You agree to fully indemnify and hold harmless us and our directors, officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Services;
• Your breach of these Terms;
• Any violation of law or third-party rights.

12. Security and Accounts

You are solely responsible for:

• Maintaining the confidentiality of login credentials;
• All activity occurring under your account.

We are not liable for any unauthorised access or loss resulting from your failure to secure your account.

13. Data and Privacy

You retain ownership of your data.

We:

• Treat your data as confidential;
• Do not sell or rent your data;
• May access data solely to provide the Services, comply with law, or investigate breaches.

We do not guarantee absolute security of data transmissions.

14. Termination

Your Licence automatically terminates:

• At the end of the paid licence or subscription period;
• Upon non-payment of any fees;
• Immediately upon breach of these Terms.

Upon termination:

• All rights to use the Software cease;
• No refunds are payable;
• Clauses intended to survive termination shall survive.

15. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control.

16. Notices

Notices to you will be sent electronically to your registered email address and are deemed received 24 hours after sending.

17. Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

18. Governing Law

Where the data relates solely to Australian tax residents, these Terms are governed by the laws of Australia and you submit to the exclusive jurisdiction of Australian courts.

19. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements.

20. Acceptance

By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.
